WCKD Forms is a product of WCKD Marketing®, Inc. (“WCKD Marketing”). In these terms, “WCKD Forms,” “we,” “us,” and “our” refer to WCKD Marketing®, Inc., which operates the WCKD Forms product and Partner Program. These terms form a binding agreement between you (the “Partner”) and WCKD Marketing®, Inc.

1. Commission structure & payout terms

  • Base commission: Partners earn a 20% commission on the licence price before tax (Stripe processing fees are not deducted from your rate).
  • Eligible transactions: Commissions apply strictly to the one-time licence sale. Recurring yearly updates, subscriptions, and subsequent upgrades are explicitly excluded from commission eligibility.
  • Holding period & voided sales: Commissions are placed in escrow for a 30-day holding period following the purchase to account for potential returns. Any refunds, cancellations, or chargebacks initiated during this window will immediately void the commission for that sale.
  • Payout mechanics: Payouts are processed manually via Stripe, PayPal, or email transfer once commissions pass the 30-day holding period and are marked payable.
  • Administrative forfeiture: You must maintain valid payout routing and tax documentation. If payment cannot be processed due to missing administrative details for a continuous period of six (6) months following a finalized transaction, the commission for that transaction is permanently forfeited.
  • Self-referral prohibition: You may not use your own affiliate link or promo code to purchase WCKD Forms for your own use. Commissions triggered where the checkout email matches the partner’s account email, or where the purchase is otherwise made for your own benefit by any means, will be voided.

2. Attribution logic & promotional codes

  • Cookie lifecycle: Link attribution operates on a 30-day, last-click tracking model. To qualify for a commission, the user must purchase within 30 days of clicking your specific ?ref=YOURCODE link, provided they do not click a competing partner’s link before checking out.
  • Conditional promo codes: Partners may apply for limited-time, custom Stripe promotion codes to offer direct discounts. Approval requires the submission of a campaign brief detailing your promotional strategy.
  • Promo code attribution: If a user enters your assigned promotional code at checkout, the sale will be attributed to your account, overriding existing cookie attribution. These codes carry strict expiration dates and cannot be published on public coupon directories.

3. Brand protection & promotional restrictions

To protect the WCKD Forms brand and maintain organic search integrity, partners must strictly adhere to the following promotional rules:

  • Trademark bidding ban: You are strictly prohibited from bidding on WCKD Forms branded keywords in paid search campaigns (PPC) on Google, Bing, or similar networks. Furthermore, you must proactively add “WCKD Forms” and its misspellings as negative keywords in all relevant paid search campaigns.
  • Anti-fraud & interception: The use of cookie stuffing, invisible iframes, deceptive redirects, or unauthorized browser extensions to artificially generate attribution is strictly prohibited and will result in immediate termination.
  • Sub-affiliate networks: You may not operate as a sub-affiliate network or broker our program to third parties without direct visibility into the traffic source.
  • Brand asset usage: You will be provided access to our co-branded marketing kit. You may not alter the logos, colours, or proportions of the WCKD Forms brand assets, nor may you falsely present yourself as an employee or official representative of WCKD Forms.

4. Regulatory compliance & disclosures

  • Mandatory disclosures: In compliance with FTC guidelines and Ad Standards regulations, any content containing a WCKD Forms referral link or promo code must include a clear, prominent, and proximate disclosure stating your material connection to us (e.g., disclosing that you earn a commission from purchases).
  • Truth in advertising: You may not make false, misleading, or exaggerated claims regarding the features, guarantees, or capabilities of WCKD Forms.

5. Data scraping & AI prohibition

  • Data protection: The proprietary assets, content, and code provided within the partner portal are strictly for promotional use. You are expressly prohibited from utilizing WCKD Forms links, site data, or partner assets to develop, train, or enhance large language models (LLMs) or related machine learning systems.

6. Limitation of liability & disclaimers

  • Provided “as is”: The Partner Program, partner portal, attribution tracking, and all assets are provided “as is” and “as available.” To the fullest extent permitted by law, WCKD Forms disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
  • No earnings guarantee: WCKD Forms does not guarantee any minimum earnings, traffic, conversion rate, attribution accuracy, or continued availability of the Partner Program.
  • Excluded damages: To the fullest extent permitted by law, and regardless of the legal theory, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, or goodwill, even if advised such damages were possible.
  • Liability cap: WCKD Forms’ total aggregate liability arising out of or relating to the Partner Program will not exceed the total commissions paid by WCKD Forms to you in the three (3) months immediately preceding the event giving rise to the claim.

7. Indemnification

  • Your obligation: You will defend, indemnify, and hold harmless WCKD Forms, its affiliates, and their respective officers, directors, and employees from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your participation in the Partner Program; (b) your websites, content, marketing materials, and promotional methods; (c) your use of the WCKD Forms brand assets in a manner not authorized by these terms; (d) your violation of any law or regulation, including FTC disclosure requirements; and (e) your breach of any representation, warranty, or obligation in these terms.

8. Compliance with laws

  • General compliance: You will conduct all activities under the Partner Program in accordance with all applicable laws and regulations, including consumer-protection, advertising, privacy, anti-spam, and applicable export-control and economic-sanctions laws.
  • Sanctioned parties: You may not promote WCKD Forms to, or accept commissions in connection with, any party located in an embargoed region or identified on an applicable government sanctions or denied-parties list.

9. Governing law & disputes

  • Governing law: These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding their conflict-of-laws rules.
  • Resolution process: The parties will first attempt in good faith to resolve any dispute within thirty (30) days of written notice. Any dispute not resolved within that period will be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada, and both parties consent to personal jurisdiction there.

10. Suspension & termination

  • Unilateral authority: WCKD Forms maintains an open signup policy but reserves the right to suspend or terminate any partner account, at any time, with or without cause, upon written notice (email permitted). Either party may terminate participation at any time.
  • Termination without cause: Upon termination without cause, you will remain entitled to any commissions that validly accrued and cleared the 30-day holding period before the termination date, paid in the ordinary payout cycle.
  • Forfeiture on breach: If your account is terminated for cause (e.g., violating the trademark bidding ban, engaging in cookie stuffing, misrepresenting the brand, or breaching the AI & data prohibition), all accrued but unpaid commissions will be immediately and permanently forfeited.
  • Tax liabilities: You assume full responsibility for all tax reporting and liabilities regarding any commission amounts paid to you by WCKD Forms.
  • Survival: Sections 5 (Data Scraping & AI Prohibition), 6 (Limitation of Liability), 7 (Indemnification), 8 (Compliance with Laws), and 9 (Governing Law), along with the Tax Liabilities provision above, survive termination.

11. Modification of terms

  • Updates: WCKD Forms may modify these terms at any time by posting updated terms with a revised “Last updated” date and, where reasonable, providing notice by email. Changes take effect thirty (30) days after posting. Your continued participation after that date constitutes acceptance. If you do not agree, your sole remedy is to stop participating and withdraw from the program.
